Bitcoin Bull Chamath Palihapitiya Files for $250M SPAC Targeting DeFi & AI

The SPAC intends to issue 25 million shares at $10 each. Palihapitiya will serve as chairman, while Steven Trieu, managing partner and chief financial officer at Social Capital, takes on the role of chief executive officer.

Unlike some of his past ventures that leaned heavily into fintech and digital assets, this new SPAC casts a wider net across several strategic industries. Its focus includes decentralized finance (DeFi), artificial intelligence (AI), clean and nuclear energy, defense technologies, and robotics. Palihapitiya has described these areas as essential to securing America’s technological leadership for the coming decades.

Palihapitiya is no stranger to the SPAC market. He rose to prominence during the 2020–2021 boom, when blank-check companies became a favored route for startups to go public. Some of his earlier deals, such as the merger that brought SoFi Technologies to market, saw significant success. Others, however, struggled or were liquidated as market conditions shifted and interest in SPACs cooled during 2022.

Now, with renewed enthusiasm in crypto, AI, and energy innovation markets, Palihapitiya is making a calculated return. The new SPAC will have 24 months, with the possibility of extending to 27, to complete a merger with a private company. If it fails to find a suitable target within that timeframe, it must return capital to investors.

Palihapitiya has defended SPACs as a more transparent and flexible alternative to traditional initial public offerings. At the same time, he has been candid about the risks, reminding investors that success is never guaranteed and that the speculative nature of such ventures requires resilience.

This latest move highlights Palihapitiya’s confidence in the potential of decentralized finance and artificial intelligence and a strong bet on energy and defense as pillars of future growth.
