Ripple CLO Stuart Alderoty has openly defended crypto exchange Kraken in its ongoing legal battle with the U.S. Securities and Exchange Commission (SEC) over alleged securities law violations.<\/p>\n\n\n\n

On Friday, U.S. District Judge William H. Orrick denied Kraken\u2019s motion to dismiss the SEC\u2019s lawsuit and directed the exchange to respond to the \u201ccomplaint\u201d within 20 days.<\/p>\n\n\n\n

Ripple CLO Supports Kraken<\/h2>\n\n\n\n

Reacting to the recent ruling, Ripple CLO Stuart Alderoty highlighted certain aspects of the court\u2019s decision in the Kraken vs. SEC case\r\n \r\n \r\n \r\n <\/g>\r\n \r\n \r\n \r\n <\/clipPath>\r\n <\/defs><\/svg><\/span><\/a>, noting that the court has once again confirmed that there is no such thing as a \u201ccrypto asset security.\u201d <\/p>\n\n\n\n

Alderoty referred to this outcome as a setback for the SEC, criticizing the regulator\u2019s reliance on a regulation-by-enforcement strategy based mainly on the dispute premise. \u201cBad news for the SEC,\u201d he wrote.<\/p>\n\n\n\n

Meanwhile, Kraken\u2019s Chief Legal Officer Marco Santori emphasized the Federal court's ruling, which indicates that none of the tokens trading on Kraken are securities. <\/p>\n\n\n\n

Yesterday, the judge mentioned that the regulators\u2019 designation of Kraken tokens as \u201ccrypto asset securities\u201d is \u201cunclear at best and confusing at worst.\u201d<\/p>\n\n\n\n

Santori pointed out that the Court criticized the SEC\u2019s lawsuit tactics and questioned the agency for repeatedly misrepresenting Kraken\u2019s stance by insisting that a \u201cwritten contract\u201d is necessary to define a security.<\/p>\n\n\n\n

But why has the Court allowed the Kraken lawsuit to proceed despite this criticism? Santori explained that fundamentally, the court in Kraken\u2019s case made the same distinction as in Ripple\u2019s case: a token isn\u2019t a security, but agreements surrounding the token could be.<\/p>\n\n\n\n

He stated that the SEC has lost on the \u201ctokens are securities\u201d argument and thus cannot rely on it going forward. <\/p>\n\n\n\n

Moving ahead, the U.S. regulator will need to prove that every transaction on Kraken is a security, which it can't, according to Santori.<\/p>\n\n\n\n

The Kraken CLO argued that the SEC\u2019s Howey Test<\/a> criteria would not be satisfied and stressed Kraken\u2019s readiness to demonstrate this during the discovery process. He also asserted, \u201cKraken will fight and Kraken will win.\u201d<\/p>\n\n\n\n

Kraken is not alone in this battle, as other industry players, such as Coinbase, are also dealing with the SEC\u2019s regulatory actions.<\/p>\n\n\n\n

SEC Lawsuit and Regulation-By-Enforcement Strategy<\/h2>\n\n\n\n

Santori also criticized the SEC for its regulation-by-enforcement approach, stating that it could have broader implications for the crypto industry. <\/p>\n\n\n\n

He argued that applying this standard across the entire crypto industry would be costly and time-consuming, considering the billions of transactions for a given asset. <\/p>\n\n\n\n

This would ultimately lead to prolonged litigation. Santori reiterated that the ruling validates Kraken\u2019s position that the SEC cannot effectively regulate crypto through enforcement alone.<\/p>\n\n\n\n

Amid the ongoing SEC actions, crypto market players are also adjusting to find common ground with regulators. <\/p>\n\n\n\n
