Bitcoin Miner CleanSpark acquires GRIID in a $155M all-stock deal, improving bitcoin mining operations and sustainable practices.
CleanSpark, a bitcoin mining company, has signed a definitive merger agreement to acquire GRIID Infrastructure Inc. (Nasdaq: GRDI) in an all-stock transaction valued at $155 million.
This acquisition, anticipated to be finalized in the third quarter of 2024, is part of the company’s strategic expansion in the Bitcoin mining industry. For example, the company has acquired five turnkey mining sites and Bitmain S21 processors.
Bitcoin mining company, CleanSpark is set to acquire GRIID
By the agreement, CleanSpark will assume ownership of all of GRIID’s issued and outstanding common stock, thereby integrating GRIID’s current debt and asset profile into CleanSpark’s. This agreement is a critical hosting arrangement that allows CleanSpark to command 20 MW of power immediately. The financial arrangement of the transaction stipulates that CleanSpark will distribute its common stock to GRIID stockholders in accordance with the exchange ratio established before the current market conditions.
The strategic aspects of the merger were viewed favorably by CleanSpark’s CEO, Zach Bradford, who stated that the acquisition will assist CleanSpark in achieving its growth objectives while GRIID possesses operational assets.
In addition, Bradford stated,
“This integration does not only serve to expand the operational reach of the company but it also amplifies our advocacy on the importance of environment friendly mining.”
CleanSpark has provided GRIID with a $5 million working capital loan and a $50.9 million bridge loan in addition to its support for the integration.
Improving Mining Capabilities with Bitmain S21 Miners
CleanSpark has recently disclosed that it has agreed to acquire up to 160,000 Bitmain S21 miners to facilitate its expansion strategy effectively. This significant enhancement is anticipated to enhance CleanSpark’s competitiveness in the cryptocurrency mining industry by increasing its hashrate. The initial acquisition of 60,000 units will increase its hashing capacity by an estimated 12 EH/s, with the potential for additional purchases before the end of the year.
The company has also executed agreements to acquire five turnkey facilities in Georgia with the GRIID acquisition. The company’s strategy to attain an operational hashrate of over 20 EH/s by the middle of this year includes the construction of 60MW of sites with a capacity of 8MW to 15MW. CleanSpark’s mining operations are improved by including these sites, which also contributes to the preservation of grid reliability and community relations.
Furthermore, the organization has ambitious objectives in Tennessee: to surpass 100 megawatts of capacity by the conclusion of the current year, reach 200 megawatts by 2025, and surpass 400 megawatts by 2026.
